The Compliance Officer will oversee the Company's compliance framework across its corporate, fiduciary, and regulated activities, ensuring alignment with Maltese laws, MFSA requirements, and internal standards. They will provide independent guidance to the Board and senior management, monitor regulatory risk, implement controls, and address compliance issues. The role also involves liaising with the MFSA, coordinating regulatory reporting, and working with other control functions to promote a consistent approach to compliance. The ideal candidate will be based in Malta and meet MFSA fitness and properness requirements.
- Maintain and regularly review the Company’s compliance policies, procedures and risk-based Compliance Monitoring Programme.
- Conduct periodic compliance reviews, including client file reviews and control assessments.
- Identify and report compliance findings, regulatory breaches, control weaknesses and areas requiring improvement.
- Recommend corrective actions and monitor their implementation within agreed timelines.
- Prepare regular compliance reports for the Board of Directors and provide guidance on regulatory matters and developments.
- Monitor compliance with the Trusts and Trustees Act, the Company Service Providers Act, applicable MFSA rules, authorisation conditions and other relevant legislation.
- Coordinate regulatory submissions, notifications and responses to information requests.
- Act as a principal point of contact with the MFSA in relation to compliance matters, reviews and inspections.
- Review complaints, outsourcing arrangements and potential conflicts of interest from a compliance perspective.
- Work closely with the Money Laundering Reporting Officer, Risk Officer and other control functions while maintaining appropriate independence.
- Support the delivery of compliance training and promote a strong compliance culture across the organisation.
- Exercise independent judgement and have appropriate access to the Board of Directors, Company information and records.
- Identify, disclose and appropriately manage any actual or potential conflicts of interest.
- A recognised degree or professional qualification in law, compliance, finance, accountancy, risk management, corporate services or a related field.
- Relevant experience in compliance, legal, audit, regulation or risk management.
- Previous experience within a Company Service Provider, trustee or fiduciary business, financial institution or other regulated entity will be considered an asset.
- Good knowledge of the Maltese regulatory framework applicable to Company Service Providers and trustee or fiduciary activities.
- Practical understanding of corporate services, client onboarding, ongoing monitoring and governance.
- Ability to interpret regulatory requirements and apply them through practical policies, procedures and controls.
- The IFSP Foundation Certificate in Trusts Law and Management will be considered an asset.
