    Job Description

    The law clerk/paralegal will be a member of the Real Estate Group’s funds team responsible for global fund legal operations and will support the legal team.

    Responsibilities:

    • Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols
    • Manage the legal document system and maintain organization of all legal documents
    • Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities
    • Apply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if required
    • Prepare tax forms (W-8s/W-9s)
    • Assist with bank account openings and onboarding entities with the fund administrator and other service providers
    • Assist with filings required under U.S. securities laws
    • Advise registered agent of any entity formations, name changes, conversions and dissolutions
    • Draft initial operating agreements, resolutions and internal loan documents
    • Respond to internal and external requests for information for KYC and other purposes
    • Assist in preparing and maintaining structure charts
    • Maintain D&O registers
    • Assist in annual processes, ad hoc projects and corporate governance matters generally

    Qualifications:

    • Law Clerk Diploma
    • Minimum of 2-3 years of post-qualification experience
    • Exceptional attention to detail
    • Strong organizational, project and time management skills
    • Excellent interpersonal, written and verbal skills
    • Proficiency in Microsoft Word, Excel, PowerPoint and PDF
    • Fast learner with the ability to multi-task effectively while managing a robust workload in a fast-paced environment
    • Experience with Diligent corporate database (fka Blueprint) and/or iManage document management system a plus

    Salary Range: $85,000 - $100,000 CAD
