Job Responsibilities
- Provide legal support and counsel on commercial contracts, supporting negotiation and drafting of contracts with customers, suppliers, and business partners
- Support mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence, document preparation, closing activities, and post-closing integration
- Provide day-to-day legal advice and strategic counseling to business units and corporate functions on commercial, operational, regulatory, and compliance matters
- Assist with public company compliance, including preparation and review of SEC filings and compliance with NYSE listing standards, corporate governance requirements, and disclosure obligations
- Advise management and business partners on corporate records management
- Partner with business leaders to identify, assess, and mitigate legal and business risks while enabling commercial objectives
- Coordinate and support intellectual property matters, including patent, trademark, and related portfolio management activities
- Assist with the development and implementation of company policies, procedures, training, and compliance initiatives
- Assist with managing relationships and services of outside attorneys
- Perform other legal and business support responsibilities as needed
Qualifications
- Juris Doctor degree from an accredited law school
- 2-5 years of experience in either law firm or in-house legal department
- High level of integrity, professionalism, and discretion
- Strong business judgment and risk assessment skills
- Ability to balance legal risk with practical business objectives
- Strategic thinking, plus a committed "get to yes"/solutions-oriented approach
- Excellent written, verbal and interpersonal communication skills, with the ability to translate complex legal/regulatory issues into understandable and executable advice
- Ability to manage multiple projects and competing priorities
- Strong relationship-building and client-service orientation
- Demonstrated ability to work independently while collaborating effectively across functions
- Comfort and excellent judgment in areas where regulation/law is evolving or uncertain
- Self-motivated and enthusiastic
- Proficient in Microsoft Outlook, Word, Excel and PowerPoint
