Corporate Services & Finance Lawyer

We're looking for a Legal Counsel – Corporate Services & Finance based in Sydney to join our legal team and support a broad range of corporate, commercial and finance matters across our Australian and international business operations. You'll work closely with our commercial, procurement and finance teams, providing pragmatic legal advice that keeps pace with our growth.

This is a broad, hands on role for someone who enjoys variety, one day advising on a debt or capital raising, the next establishing corporate and trust structures, negotiating a major supply agreement or supporting our international expansion.

Your responsibilities will include:

• Advising on the establishment, administration and governance of corporate and trust structures, including multi tiered structures involving corporate trustees and unit trusts
• Drafting, reviewing and negotiating a broad range of corporate, commercial and financing agreements
• Supporting the Company Secretary with the corporate secretarial function, including entity and trust management and administration, ASIC and ASX interface, and regulatory matters across Australia, Malaysia and beyond
• Advising on and administering finance focused transactions and documentation, including debt and capital raising
• Supporting procurement processes end to end, including tender and contract documentation, negotiation of terms and ongoing vendor arrangements
• Advising on supply chain and equipment supply agreements and related contractual risk
• Providing legal support across key projects, from inception through to delivery

You'll join a small, high performing legal team working directly with the Head of Legal and senior leaders across our business. You will have a genuine breadth of work few in-house roles offer at this level. Think corporate structuring, finance transactions, company secretarial and procurement work on major projects for an ASX 100 company at the centre of Australia's AI and digital infrastructure boom.

• Qualified lawyer admitted in Australia with 4-7 years of experience in corporate and commercial law
• Strong understanding of corporate and trust structures, ideally including multi tiered structures involving corporate trustees and unit trusts
• Collaborative working style, with confident drafting and negotiation across a broad range of contracts
• Sound grasp of finance principles and finance related transactions, including capital and debt raising
• Experience advising on procurement and supply chain arrangements with experience in the data centre, infrastructure, construction or technology sectors being highly regarded
• Comfortable working across multiple projects with competing priorities, with a pragmatic and commercial approach
