Corporate Counsel

About The Role

We're looking for a talented and passionate person to join Wildlife's Legal Team as Counsel.

We're looking for someone motivated, detail-oriented, and with solid experience in Corporate Law and Contracts to act as a strategic business partner, in a role with a predominantly international scope, including entities based in the United States, Brazil, Canada and Finland. The position offers autonomy to own processes end-to-end and direct contact with senior leadership on strategic company matters.

What You'll Do

• Provide legal opinion in relation to the Corporate Area
• Provide legal support to all Wildlife entities, in Brazil and abroad
• Structure and apply corporate governance rules for the group’s entities
• Draft and coordinate board resolutions and board meeting materials
• Handle the entities' annual corporate compliance obligations, in Brazil and abroad
• Coordinate with external law firms across different jurisdictions
• Review and negotiate contracts (NDAs, vendor, licensing, service provider, real estate, insurance agreements, intercompany agreements, financial agreements, etc)
• Manage the Company’s contract management system and related platforms
• Manage and support the stock option plan: grants, exercises, repurchases, consulting, etc, and provide legal advice with respect to equity-related matters
• Manage the cap table and the shareholder register
• Support audits and KYC/AML reviews
• Work closely with many different areas of the Company, such as Finance, Tax, Controllership, Facilities, Engineering, Live Games
• Build playbooks and automation initiatives applied to the Company
• Structure, prepare and review managerial reports and documents

What You'll Need

• 4+ years of full-time employment as a Legal/Corporate Counsel
• Solid experience in Corporate Law and contracts
• Prior experience with stock option plans
• Active Brazilian Bar (OAB) membership
• Working proficiency in English, to independently handle international documents and meetings
• Autonomous, organized profile, comfortable managing multiple projects simultaneously
• Clear and transparent communication, keeping the team updated on work status
• Team builder
• Be a business partner and business oriented
• Strong social skills
• Experience with M&A transactions (a plus)
• Experience with foreign entities and international jurisdictions (a plus)
• Background at startups, tech companies, or law firms with a venture capital practice (a plus)
• LLM in Corporate Law (a plus)
